Shopify currently processes credit cards payments in Japan through their integration with Stripe. Upon your acceptance of the termsof service of such substitute payment processor, they shall bedeemed to have replaced the Processor contemplated herein,provided that your liabilities to the Processor herein shall notbe diminished on account of accepting the terms of thesubstitute payment processor.We may require you to fund the Reserve Account by means of: (i)any funds payouts made or due to you for Transactions submittedto the Payments Services; or, (ii) amounts available in yourbank account by means of ACH debit to your Shopify PaymentsAccount; or, (iv) other sources of funds associated with yourShopify Payments Account; or, (iv) requesting that you providefunds to us for deposit to the Reserve Account.The Processor’s role is to accept and process credit card, debitcard and other types of payments (collectively “Cards”) withrespect to sales of your products and services throughinternet-based transactions (“Card Not Present Transactions" or“CNP Transactions”). You may not disclose Cardholder Data to any third partyother than in connection with processing a Transaction requestedby your customer.ANY SUBJECT MATTER DOWNLOADED OR OTHERWISE OBTAINED THROUGH THEUSE OF THE PAYMENTS SERVICES IS DOWNLOADED AT YOUR OWN RISK ANDYOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTYOR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD. If you register as acorporation or other legal entity, you must be authorized to acton behalf of such entity, have the authority to bind the entityto this Agreement, and you must agree to this Agreement onbehalf of such entity.
In transit. If you have so agreed, the term"Merchant", “you” or “your” will mean you, the natural personacting as a business, if you are a sole proprietor, or if youhave registered as a corporation or other legal entity, it willmean that entity. Failure to do so will be cause forimmediate termination of this Agreement and shall allow thepursuit of any other action available to us under the applicablePayment Network Rules or law.This Agreement may be available in languages other than English.To the extent of any inconsistencies or conflicts between thisEnglish Agreement and the Agreements available in anotherlanguage, the most current English version of the Agreement willprevail.THIS LIMITATION OF LIABILITY SECTION APPLIES REGARDLESS OF THELEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING, WITHOUTLIMITATION, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICTLIABILITY, OR ANY OTHER BASIS. No waiver of any term of thisAgreement shall be deemed a further or continuing waiver of suchterm or any other term.For the purposes of this Agreement, “Intellectual PropertyRights" means all patent rights, copyright rights, mask workrights, moral rights, rights of publicity, trademark, tradedress and service mark rights, goodwill, trade secret rights andother intellectual property rights as may now exist or hereaftercome into existence, and all applications therefore andregistrations, renewals and extensions thereof, under the lawsof any state, country, territory or other jurisdiction.You agree that: (i) you are not entitled to any interest orother compensation associated with the funds held in the ReserveAccount; (ii) you have no right to direct that account; (iii)you have no legal interest in those funds or that account; and,(iv) you may not assign any interest in those funds or thataccount.Reach millions of shoppers and boost salesYou hereby covenant to us that: (i) any Transactions submittedby you will represent a bona fide sale by you; (ii) anyTransaction submitted by you will accurately describe the goodsand/or services sold and delivered to a customer; (iii) you willfulfill all of your obligations to each customer for which yousubmit a Transaction and will resolve any disputes or complaintsdirectly with your customers; (iv) you and all Transactionsinitiated by you will comply with all applicable laws, rules,and regulations applicable to your business, including, but notlimited to, any applicable tax laws and regulations; (v) exceptin the ordinary course of business, no Transaction submitted byyou through the Payments Services will represent a sale to anyprincipal, partner, proprietor, or owner of your entity; (vi)you will not use the Payments Services, directly or indirectly,for any fraudulent undertaking or in any manner so as tointerfere with the use of the Payments Services; and, (vii) anyinformation you provide to us will be accurate and complete.If you are liable for any amounts owed to us, we may immediatelyremove such amounts from your Reserve Account and deduct theamounts owed to us from such Reserve Account funds.
